TERMS AND CONDITIONS

1. DEFINITIONS AND GENERAL INFORMATION

1.1 Definitions

"Company," "we," "us," "our" means SmartCard SOLUTIONS LLC, a Texas limited liability company located at 5900 Balcones Dr Ste 100, Austin, TX 78731.

"Purchaser," "Customer," "you," "your" means the individual or entity purchasing SmartCard products.

"SmartCard" or "Product" means the physical NFC-enabled contact sharing device and all associated software and services.

"Application" or "App" means the mobile software application required for SmartCard functionality.

"Presale" means this pre-launch sales program with phased availability and pricing.

"Standard Card" means SmartCard featuring the SmartCard logo.

"Customized Card" means SmartCard featuring customer-provided logo or branding.

"Demo Pack" means the 5 additional demonstration cards included with Phase 3 orders.

1.2 Agreement Scope This Agreement governs the presale, purchase, delivery, and use of SmartCard products and services. By placing an order, you accept all terms without modification. These Terms supersede all previous agreements, representations, or understandings between parties.

1.3 Presale Structure and Timeline The Presale commenced August 24, 2025 at 8:24:20.25 AM CST and continues through June 1, 2026, or until application launch, whichever occurs first.

Presale Phases:

Phase 2: 1,000 total cards (standard or customized options)

Phase 3: 10,000 total cards (standard or customized options with demo pack)

Phase 4: Unlimited cards (standard or customized options)

Each subsequent phase automatically begins when the previous phase reaches full allocation. Phase progression is irreversible and phases cannot run concurrently.

2. ELIGIBILITY, RESTRICTIONS, AND COMPLIANCE

2.1 Customer Eligibility

No minimum age requirement

Must possess legal capacity to enter binding contracts

Must provide accurate contact and shipping information

Must comply with all applicable federal, state, and local laws

Must not be subject to economic sanctions or export restrictions

2.2 Geographic Limitations Service is exclusively available within the fifty United States and District of Columbia. We do not ship to U.S. territories, military APO/FPO addresses, or international destinations. Attempts to circumvent geographic restrictions may result in order cancellation and account termination.

2.3 Prohibited Purchasers We reserve the right to refuse service to:

Individuals or entities on government watch lists or sanctions lists

Previous customers who violated terms of service or engaged in fraudulent activity

Resellers or distributors operating without written authorization

Anyone providing false or misleading information during the purchase process

2.4 Verification Requirements We may require identity verification, including but not limited to government-issued photo identification, proof of address, or additional documentation before processing orders. Failure to provide requested verification within 10 business days results in automatic order cancellation.

3.4 Customization Requirements For Customized Cards:

Logo files must be provided in vector format (AI, EPS, PDF, or SVG)

Minimum 300 DPI resolution for raster images

Single color logos recommended for optimal reproduction

Logo approval process may take 5-10 business days

Complex designs may require simplification or incur additional fees

We reserve the right to reject inappropriate or copyrighted content

4. PRICING, PAYMENT, AND ORDER PROCESSING

4.1 Presale Pricing Structure

Phase 2 Pricing (1,000 cards total):

Standard SmartCard: $149.99 ($50 off retail) + free shipping

Customized SmartCard: $199.99 ($50 off retail) + free shipping

Phase 3 Pricing (10,000 cards total):

Standard SmartCard: $199.99 ($50 off retail) + free shipping + 5 demo cards

Customized SmartCard: $249.99 ($50 off retail) + free shipping + 5 demo cards

Phase 4 Pricing (unlimited cards):

Standard SmartCard: $199.99 + free shipping

Customized SmartCard: $249.99 + free shipping

All prices are in U.S. dollars and exclude applicable taxes, which are the customer's responsibility.

4.2 Payment Methods and Processing

Accepted Methods: Apple Pay, major credit cards (Visa, MasterCard, American Express), and Pay with Link

Payment Processing: Stripe and QuickBooks payment systems

Processing Time: Immediate upon order completion

Currency: U.S. dollars only

No payment processing fees charged to customers

4.3 Order Placement and Confirmation

Orders placed through direct payment links (no account creation required)

Confirmation email sent within 24 hours of successful payment

Order numbers provided for tracking and customer service

Customers responsible for monitoring email (including spam folders) for important updates

Orders processed on first-come, first-served basis within each phase

4.4 Purchase Quantities and Limits

Bulk Order Considerations: Orders of 10+ cards subject to different refund policies

Phase Allocation: No reservations; availability determined by real-time inventory

4.5 Order Processing Rights and Restrictions We reserve the unconditional right to:

Reject any order without explanation or liability

Cancel orders suspected of fraud, abuse, or terms violations

Require additional payment verification or documentation

Refuse to honor pricing errors or system glitches

Implement payment authorization holds before processing

Modify quantities if inventory becomes unavailable

Combine or split orders for shipping efficiency

4.6 Payment Failures and Collection

Failed payments result in immediate order cancellation

Customers responsible for all collection costs, including attorney fees

We may engage collection agencies for unpaid balances

Unpaid amounts may be reported to credit bureaus

Credit card chargebacks prohibited except for unauthorized transactions

5. MANUFACTURING, CUSTOMIZATION, AND PRODUCTION

5.1 Manufacturing Timeline

Production begins after phase allocation is met or at Company's discretion

Standard Cards: 4-6 weeks production time after phase completion

Customized Cards: 6-8 weeks production time after logo approval

Rush orders not available during presale period

Production schedules subject to change due to supply chain factors

5.2 Customization Process

Logo submission required within 14 days of order placement

Company review and approval process: 5-10 business days

Customer revisions may extend production timeline

Rejected logos require resubmission with compliant alternatives

Final approval must be confirmed before production begins

No changes permitted once manufacturing commences

5.3 Quality Control and Specifications

All products undergo multi-stage quality testing

NFC functionality verified before shipment

Physical defects identified and remedied during production

Cosmetic standards applied to visible surfaces only

Color variations may occur due to manufacturing tolerances

Products meet or exceed industry standards for durability

5.4 Production Changes and Updates We reserve the right to:

Update materials or components for supply chain continuity

Modify production processes without notice to customers

Change suppliers while maintaining quality standards

6. SHIPPING, DELIVERY, AND LOGISTICS

6.1 Shipping Timeline and Methods

All orders ship by June 1, 2026

Domestic shipping: 3-30 business days from ship date

Shipping carriers: UPS, FedEx, USPS, or other approved carriers

Free shipping included for all presale orders

Tracking information provided via email when orders ship

Weekend and holiday deliveries depend on carrier policies

6.2 Shipping Address Requirements

Physical addresses required (no P.O. boxes for expedited shipping)

Address verification may be required for high-value orders

Customers must provide complete, accurate shipping information

Address corrections may delay shipment

Undeliverable packages returned at customer expense

6.3 Address Changes and Modifications

Address changes accepted until shipping notification sent

6.5 International Shipping Prohibition No international shipping or forwarding services provided. Use of mail forwarding services to circumvent geographic restrictions violates these terms and voids all warranties and guarantees.

6.6 Shipping Damage and Loss

Report damaged packages within 7 days of delivery

Provide photos of damage for replacement authorization

Lost packages replaced after carrier investigation completion

Cosmetic shipping damage to outer packaging not covered

Product damage during transit results in free replacement

7. RETURNS, REFUNDS, AND CANCELLATIONS

7.1 General Refund Policy Refunds available until individual shipping notifications are sent. Once your specific order ships, all sales become final except for warranty claims or non-delivery situations.

7.6 Public Shipping Refund Suspension Once any SmartCards from any phase begin shipping to customers, all change-of-mind refunds immediately cease for all presale orders. This suspension continues until application launch. Warranty replacements and non-delivery refunds remain available.

7.7 48-Hour Change Period No change-of-mind refunds processed after 48 hours from order placement, except as specifically outlined in other sections of these terms.

7.8 Refund Processing Timeline

Standard processing: 7-14 business days

International payments: Up to 30 days

Refunds issued to original payment method only

Bank processing times beyond Company control

Disputed refunds may require additional documentation

7.9 Non-Delivery Refund Rights If customers don't receive shipping notification by May 1, 2026, full refunds available upon request. If software never launches or cards never ship due to Company inability, customers eligible for full or prorated refunds.

8. WARRANTIES AND PRODUCT SUPPORT

8.1 Limited Hardware Warranty Each SmartCard includes a 1-year limited warranty from delivery date covering:

Manufacturing defects affecting core operations

Physical defects present at time of delivery

Premature component failure under normal use

8.2 Warranty Exclusions Warranty does not cover:

Cosmetic damage or normal wear and tear

Damage from misuse, abuse, or accidents

Water damage beyond IPX4 rating specifications

Damage from extreme temperatures outside operating range

Modifications or repairs by unauthorized parties

Software issues unrelated to hardware functionality

Using SmartCards for illegal or fraudulent purposes

Attempting to bypass software limitations or restrictions

Creating fake profiles or impersonating others

10.3 Content and Profile Standards

All profile content must be accurate and truthful

No offensive, discriminatory, or inappropriate material

Copyright and trademark violations prohibited

Company reserves right to remove violating content

Repeated violations may result in service termination

10.4 Commercial Use Restrictions

Individual/small business use permitted without additional authorization

Bulk resale requires written distribution agreement

Corporate licensing available for organizations with 50+ cards

10.5 Account Security and Access

12. LIABILITY, DISCLAIMERS, AND RISK ALLOCATION

12.1 Maximum Liability Limitation Company's total liability for any and all claims, damages, losses, or expenses arising from or related to SmartCard products, services, or this Agreement shall not exceed the total amount paid by Customer for the specific order giving rise to the claim.

12.2 Comprehensive Disclaimer of Warranties SMARTCARDS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. COMPANY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR TRADE USAGE.

12.3 Consequential Damages Waiver Company not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, business interruption, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

12.4 Third-Party Service Dependencies

NFC functionality depends on device compatibility beyond Company control

App store availability subject to third-party policies

Internet connectivity required for full functionality

Social media platform integration dependent on external APIs

Company not responsible for third-party service changes or interruptions

12.5 Performance and Compatibility Disclaimers

13. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

13.1 Company Intellectual Property All SmartCard designs, software, trademarks, logos, documentation, and related intellectual property remain exclusive property of SmartCard SOLUTIONS LLC. No rights granted except as expressly stated in this Agreement.

13.2 Customer Content License By using Services, Customers grant Company non-exclusive, royalty-free license to use testimonials, reviews, feedback, and suggestions for marketing and product improvement purposes.

13.3 Reverse Engineering Prohibition Customers may not reverse engineer, decompile, disassemble, or attempt to derive source code from SmartCard hardware or software components.

13.4 Trademark and Branding Usage

SmartCard trademarks and logos are protected intellectual property

Unauthorized use in marketing or resale activities prohibited

Customer branding on Customized Cards does not grant Company usage rights

Compliance with trademark usage guidelines required for authorized partners

14. DISPUTE RESOLUTION AND LEGAL PROVISIONS

14.1 Binding Arbitration Requirement All disputes, claims, or controversies arising from this Agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Austin, Texas, under AAA Commercial Arbitration Rules.

14.2 Class Action Waiver All disputes must be resolved individually. Class action lawsuits, representative actions, and collective proceedings are strictly prohibited and waived.

14.3 Jury Trial Waiver Both parties waive rights to jury trial for all disputes. Any court proceedings shall be resolved by bench trial only.

14.4 Damages Limitations Parties waive claims for punitive, exemplary, consequential, and indirect damages. Recovery limited to direct, actual damages not exceeding amount paid for products.

14.5 Statute of Limitations All claims must be filed within one (1) year of when the cause of action arises. Claims filed after this period are permanently barred.

14.6 Attorney Fees and Costs Prevailing party in any dispute entitled to recover reasonable attorney fees, costs, and expenses from the non-prevailing party.

14.7 Governing Law and Jurisdiction This Agreement governed by Texas state law without regard to conflict of law principles. Any court proceedings shall be conducted in Travis County, Texas.

14.8 Injunctive Relief Nothing prevents Company from seeking injunctive relief for intellectual property violations or terms of service breaches in any court of competent jurisdiction.

15. REGULATORY COMPLIANCE AND LEGAL REQUIREMENTS

15.1 FCC and Regulatory Compliance SmartCards comply with FCC Part 15 regulations for electronic devices. Changes or modifications not expressly approved by Company may void user's authority to operate the device.

15.2 Export Control Compliance Products subject to U.S. export control laws. Customers responsible for compliance with applicable import/export regulations in their jurisdiction.

15.3 Consumer Protection Laws Company complies with applicable federal and state consumer protection laws. Customers in certain jurisdictions may have additional rights not waived by this Agreement.

15.4 Tax Obligations

Customers responsible for all applicable sales taxes, use taxes, and duties

Tax documentation may be required for certain orders

International customers responsible for customs duties and fees

Company may collect and remit taxes as required by law

15.5 Data Protection Compliance Services designed to comply with applicable data protection regulations including GDPR, CCPA, and other privacy laws. Privacy policy available at SmartCardNetworking.com.

16. BUSINESS OPERATIONS AND ADMINISTRATIVE PROVISIONS

16.1 Terms Modification Rights Company reserves right to modify these Terms at any time with 30 days advance notice via email and website posting. Continued use after modification constitutes acceptance.

16.2 Business Operations Rights Company may:

Discontinue presale early at its sole discretion

Suspend services for maintenance or updates

Require tax documentation from customers

Enforce geographic restrictions actively

Modify business hours and support availability

Transfer rights and obligations upon business sale

16.3 Severability and Survival If any provision deemed invalid or unenforceable, remaining provisions remain in full force and effect. Sections regarding liability limitations, dispute resolution, and intellectual property survive Agreement termination.

16.4 Entire Agreement This Agreement constitutes the entire understanding between parties and supersedes all prior agreements, representations, or understandings. No modifications except in writing signed by authorized Company representative.

16.5 Assignment and Transfer Customers may not assign rights or obligations under this Agreement. Company may assign or transfer rights without restriction, including in connection with mergers, acquisitions, or business sales.

16.6 Notice and Communication

Customers responsible for maintaining current contact information

Important updates sent to all customer email addresses on file

16.7 Waiver and Enforcement Company's failure to enforce any provision does not constitute waiver of right to enforce such provision in future. All rights and remedies cumulative and not exclusive.

Customization and Manufacturing

Q: How do I customize my SmartCard with my own logo?

A: After ordering a customized card, you'll receive instructions to submit your logo file. We accept vector formats (AI, EPS, PDF, SVG) or high-resolution images (300+ DPI). Our design team reviews and approves logos within 5-10 business days.

Q: What logo requirements should I know about?

A: Logos should be single color, simple designs that reproduce well at small sizes. We may request modifications for complex designs. Inappropriate content or copyrighted material will be rejected (at the discretion of our design team - in the event we do not accept a design you will have the option to opt for a new logo, choose a basic card, or be refunded.

Q: How long does manufacturing take?

A: We accept Apple Pay, major credit cards (Visa, MasterCard, American Express), and Pay with Link. All payments are processed immediately in U.S. dollars with no additional fees.

Q: Is there a minimum or maximum order quantity?

A: Minimum order is 1 card with no maximum limit. However, orders of 10 or more cards have different refund policies and may require additional approval.

A: Each card type must be ordered separately due to different production requirements and timelines- but we will attempt to bundle them together.

Shipping and Delivery

Q: When will my SmartCard ship?

A: All presale orders ship by June 1, 2026. You'll receive tracking information via email when your order ships. Standard domestic shipping takes 3-30 business days.

Q: Is shipping really free?

A: Yes, shipping is completely free for all presale orders within the United States. This includes all packaging, handling, and delivery to your door.

Q: Do you ship internationally?

A: No, we only ship within the fifty United States and Washington D.C. We don't ship to U.S. territories, military addresses, or international destinations.

Q: Can I change my shipping address after ordering?

A: Yes, up until we send your shipping notification. Once your package enters the carrier network, address changes are impossible. Contact Support@SmartCardNetworking.com immediately if you need changes.

Q: What if my package arrives damaged?

A: Contact Support@SmartCardNetworking.com within 48 hours with photos of any damage. We'll replace damaged SmartCards at no cost. This covers the card itself but not outer packaging materials.

Refunds and Cancellations

Q: Can I cancel my order and get a refund?

A: Yes, but only until your individual shipping notification is sent. Once your order ships, all sales become final except for warranty issues or non-delivery situations.

Q: How do I request a refund?

A: Email Refunds@SmartCardNetworking.com with your order number and reason for cancellation. We'll respond within 3-5 business days with instructions.

Q: What fees apply to refunds?

A: For any non-defective refunds- We charge a $20 restocking fee per card (Which incorporates payment processing costs). These fees are deducted from your refund amount.

Q: Are there special rules for large orders?

A: Yes, orders of 10+ cards are not automatically eligible for refunds since they impact our presale allocation. These require individual review and approval via Refunds@SmartCardNetworking.com.

Q: Can I return my customized card?

A: Customized cards are non-refundable, especially after your logo is approved and manufacturing begins. Pre-production cancellations are considered case-by-case if manufacturing hasn't started. Please contact our support immediately.

Q: What happens to refunds once shipping begins?

A: Once ANY SmartCards from ANY phase begin shipping to customers, all change-of-mind refunds immediately stop for ALL presale orders - this is to ensure integrity for any and all future potential promotional deals, presales, or competitions. This continues until our app launches. Warranty replacements and non-delivery refunds remain available.

Q: Is there a deadline for refund requests?

A: No change-of-mind refunds are processed after 48 hours from order placement, except for the specific situations outlined in our terms (like non-delivery or warranty issues).

Q: How long do refunds take to process?

A: Approved refunds are processed within 7-14 business days to your original payment method. International payments may take up to 30 days due to banking procedures.

Warranty and Support

Q: What warranty comes with SmartCard?

A: Each SmartCard includes a 1-year limited warranty from delivery date covering NFC chip functionality failures and manufacturing defects. Cosmetic damage and normal wear are not covered.

Q: What's not covered under warranty?

A: The warranty excludes cosmetic damage, normal wear and tear, water damage beyond IPX4 rating, extreme temperature damage, misuse, abuse, accidents, and unauthorized modifications or repairs.

A: No extended warranty options are available. Third-party warranty providers are not endorsed or supported by our company at this time.

A: SmartCards are built using our proprietary titanium & carbon based construction designed for daily use.

Q: Can multiple people use the same SmartCard?

A: Each SmartCard is designed for one person's profile. However, you can update the information it shares anytime through the mobile app. Corporate accounts can reassign cards using our linking/unlinking service.

Q: What happens if I lose my SmartCard?

A: You can purchase optional insurance ($15/month or $15/year) that covers one replacement per policy term for loss, theft, damage, or even intentional destruction. Insurance becomes available after shipping begins.

Q: Can I update my information without getting a new card?

A: Yes! That's the beauty of SmartCard - you update your profile through the mobile app and changes appear instantly when someone taps your card. No need for new cards when information changes.
